Certification of User Content and Registration

When you submit information to our Services (including forms, messages, images, or other content), you certify that the information is accurate to the best of your knowledge and that you have the right to provide it. We reserve the right (but are not obligated) to remove, refuse to host, or edit any content that we determine in our sole discretion violates these Terms or is otherwise harmful. You remain solely responsible for any content you submit.

Access and Delays in Services

We strive to keep the Services available, but access may be interrupted for maintenance, upgrades, or due to events beyond our control (including network outages, force majeure, or third-party service failures). We are not liable for any delay or inability to access the Services.

Scheduled maintenance may be announced in advance when practicable. You should plan accordingly and not rely on uninterrupted access for time-sensitive tasks.

Monitoring

We may monitor usage of the Services for security, analytics, and quality assurance purposes. Monitoring does not imply any obligation to take action or guarantee that all inappropriate content will be discovered or removed automatically.

Representations, Warranties and Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT WILL FIRST PRIME ROCK INVESTMENTS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR DIRECT DAMAGES ARISING FROM THESE TERMS SHALL BE LIMITED TO THE AMOUNT, IF ANY, YOU PAID US IN THE PRIOR TWELVE (12) MONTHS IN CONNECTION WITH THE SERVICES.

Indemnification

You agree to indemnify and hold harmless First Prime Rock Investments and its officers, directors, employees, agents and affiliates from any claim, demand, loss, liability, or expense (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) any content you submit; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

Unsolicited Marketing

We do not tolerate unsolicited commercial messaging. By using the Services, you agree not to send or facilitate unsolicited marketing emails or messages to our users. If you receive communications from us, you may opt out as described in our Privacy Policy or by following the unsubscribe instructions in the communication.

Miscellaneous

These Terms constitute the entire agreement between you and First Prime Rock Investments regarding the subject matter hereof. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

We may modify these Terms from time to time; we will post the updated Terms on this page with a revised effective date. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the state in which First Prime Rock Investments operates, without regard to conflict of law principles. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts located in that state, unless otherwise required by law.
